These Terms & License govern the purchase, access and use of Evidelis digital products, including Evidelis AI Governance | EU Edition.
1. About Evidelis
Evidelis is a governance systems brand published by Ingenii OÜ. In these Terms, “Evidelis”, “we”, “us” and “our” refer to Ingenii OÜ in its capacity as product publisher and licensor.

2. The Product
Evidelis AI Governance | EU Edition is a downloadable business governance toolkit containing editable documents, spreadsheets, policies, registers, assessment tools, guidance and worked examples. It is designed to support organisations in structuring and documenting their internal AI governance activities.
The Product is not legal advice, regulatory certification, an audit opinion or a guarantee of compliance with the EU AI Act, GDPR or any other law or regulatory requirement. You remain responsible for determining which legal, regulatory, contractual and organisational requirements apply to your organisation.
3. Purchases and Payments
The Product is sold for the price displayed at checkout. Where Stripe Managed Payments is enabled for a transaction, Stripe’s Managed Payments service acts as merchant of record for that transaction and may handle payment processing, indirect taxes, fraud prevention, disputes and transaction-level customer support. Ingenii OÜ remains responsible for the Product, its content, licensing and product-specific support.
4. Delivery and Access
The Product is supplied digitally. After successful payment, you receive access through a secure Evidelis access page and may also receive an access link by email. Temporary download links may expire; a valid purchase access link can be used to generate a new temporary download link after the purchase is re-verified.
You are responsible for downloading and securely storing the Product after purchase.
5. Licence
Subject to payment of the applicable purchase price, Ingenii OÜ grants the purchasing organisation a non-exclusive, non-transferable licence to use and modify the Product for that organisation’s internal business purposes.
- Employees, officers and contractors acting for the purchasing organisation may use the Product.
- Templates may be modified and reproduced for internal governance, compliance and management activities.
- Materials may be shared with professional advisers where reasonably necessary for work performed for the purchasing organisation.
The licence does not transfer ownership of the Product or its underlying intellectual property.
6. Prohibited Uses
Unless we give prior written permission, you may not resell, sublicense or commercially redistribute the Product; make it publicly available; distribute it as a template library to third parties; use substantially unchanged materials as a product or service offered to your own clients; or claim that possession or use of the Product constitutes regulatory approval, certification or guaranteed legal compliance.
Consultants and advisers may use a purchased copy only for the purchasing organisation unless they hold a separate licence permitting wider client use.
7. Your Responsibilities
You are responsible for reviewing and adapting the Product to your organisation, validating decisions made using it, obtaining specialist advice where required, controlling access to Product files and keeping governance records current.
Any risk scores, categories or governance classifications included in the Product are internal governance tools and do not constitute legal classifications under the EU AI Act or other legislation.
8. Updates
A purchase provides access to the version of the Product described at the time of purchase. Unless explicitly stated otherwise, the purchase does not include an entitlement to future versions, regulatory monitoring, consulting services or customisation. We may correct errors or make minor technical updates at our discretion.
9. Consumer Rights
Nothing in these Terms limits mandatory consumer rights. Where the purchaser qualifies as a consumer, specific rules apply to digital content supplied immediately after purchase. See our Refund & Digital Content Policy.
10. Product Conformity and Support
If you experience a technical problem accessing the purchased files or believe the digital content is defective or does not correspond to the description provided at purchase, contact support@evidelis.com. Mandatory statutory remedies are not excluded by these Terms.
11. Intellectual Property
The Product and its original content, structure, design, documents, spreadsheets, methodology, branding and related materials are protected by applicable intellectual property laws. All rights not expressly granted under these Terms are reserved by Ingenii OÜ and, where applicable, its licensors.
12. Disclaimer
The Product is provided as a practical governance resource. We do not warrant that it will satisfy every legal or regulatory requirement applicable to your organisation, prevent incidents or enforcement action, remain current after delivery, or be suitable for every organisation, industry or use case.
You should obtain professional advice where decisions carry material legal, regulatory, financial, security or safety consequences.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Ingenii OÜ is not liable for indirect, incidental, consequential or special losses arising from the use or inability to use the Product, including loss of profits, revenue, business opportunity or data.
For business purchasers, our aggregate liability arising out of the purchase or use of the Product shall not exceed the amount paid for the Product giving rise to the claim, except where such limitation is prohibited by law. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
14. Misuse
We may restrict replacement downloads or support where we reasonably determine that access credentials, download links or Product files are being distributed in breach of this licence. This does not affect rights already granted for lawful internal use of a legitimately purchased copy.
15. Governing Law
These Terms are governed by the laws of Estonia. If you are a consumer resident in another country, this choice of law does not deprive you of mandatory consumer protections applicable to you under applicable law. Business disputes shall be submitted to the competent courts of Estonia, subject to mandatory jurisdiction rules.
16. Changes to These Terms
We may update these Terms from time to time. The version applicable to a purchase is generally the version made available at the time of purchase, unless a change is required by law or is more favourable to the purchaser.
